California Marijuana Pulling Major Investors; Cannabis Lawyer Can Advise Investors on Liability

California’s marijuana industry is seeing some major money, with investors pouring millions of dollars into new bud ventures. Recently, Esquire reported San Francisco 49ers football legend and four-time Super Bowl champion Joe Montana was part of a $75 million investment made on a California marijuana company. Montana explained his reasons as somewhat philanthropic, saying he supports the industry as a whole because he believes in the power of the plant to offer pain relief with the potential to blunt the raging opioid crisis. (A number of retired football players have said they prefer pot for pain management.) And yet, he himself won’t cop to being a cannabis user, something that still apparently speaks to the stigma that followed the drug for so long. There is also a possibility that he, like many marijuana investors, is reticent to speak too much no the topic given the fact the drug is still illegal at the federal level.

Los Angeles marijuana investment attorneys know that first of all, the profile of cannabis company investors differs from that of the norm. Part of this is because many of the cannabis start-ups are simply too small to go for the big fish. What they can do is seek buy-in from single, high net-worth individuals. Another reason these arrangements are atypical is because investors need to know there are some elements that are a bit in the legal gray zone. Huge firms aren’t likely to buy-in for such a risk with relatively low returns (compared to their average). Most of this stems from the fact cannabis remains categorized as a Schedule I narcotic. 

Even with the exit of U.S. Attorney General Jeff Sessions (who promised to roll back the Obama-era protections from federal prosecution), banks are still reticent to do business with or accept deposits from cannabis firms. (Though it is true that marijuana stocks soared after Jeff Sessions resigned).

In 2017, analysis by Arcview reviewed investment companies poured some $500 million into private cannabis companies.

A marijuana investment lawyer in California work for investors to help ensure the decision they’re making is legally sound. It’s true that someone like any other investment company, such as examining enough deals to make sure you’ve properly vetted the one on which you settle and that it truly seems like a promising deal But beyond that, there are legal issues specific to the industry and special regulations just in California about which investors need to be aware. For example, California marijuana is currently taxed at high rates and has a lot of competition from illegal black market sales. (Investors should be closely watching the recent proposal of AB 286 which proposed rolling back some of the tax burden for marijuana businesses).

Another potential issue is that by signing documents that are filed with state regulators, investors might be put at odds with federal law. Unless a product is going through the U.S. Food and Drug Administration, other businesses that profit from marijuana – even if they don’t have any part of growing or selling it – technically violate federal law.

Trump’s New U.S. Attorney General Pick Says He Won’t Pursue Pot Crackdown

The appointment of Jeff Sessions to the office of U.S. Attorney General had many pro-marijuana advocates in California and throughout the country on edge. Sessions was known to take a hard line against all drugs, and marijuana was no exception. Those fears were confirmed when Sessions formally rolled back the Cole Memo, a federal directive under the Obama administration not to pursue criminal actions or civil forfeiture against marijuana businesses that were abiding state law. After Sessions resigned (forced to leave, one could argue), there was concern President Trump’s next appointment would be more of the same. Those fears weren’t quelled when he named Bill Barr to take the post. TheGrowthOp dubbed Barr, “a well-documented drug warrior.” Barr previously served as attorney general during the George H.W. Bush administration, and during that tenure garnered a reputation for escalating the drug war back in the 1990s. He’d called for the construction of more U.S. prisons in order to lock up more drug offenders, most of whom were in hot water over crimes related to marijuana. It didn’t seem like much would change after he signed a Washington Post editorial published in November came out in swinging support of Sessions, calling him “outstanding” and praising him on his tough-on-crime approach to drug dealers.

But then, as reported by VOX, Barr responded to U.S. Senators preparing to hold his confirmation meeting that he would not be pursuing a crackdown against legal marijuana if he attains the position. He wrote, “I do not intent to go after parties who have complied with state law in reliance on the Cole Memorandum.” He clarified it was possible he might seek further guidance from the administration on this approach, but that such matters were ultimately guided by the legislature, not the administration. He personally, however, is opposed to marijuana legalization.

In other words, he is saying essentially that it is Congress that has the power to reduce the risk of federal prosecutorial interference to state marijuana laws, if it so chooses. Not that Barr wants them to make that change, but he has said he would do his Constitutional duty to abide such a law, were it to pass.

Los Angeles marijuana business attorneys know that the risk of federal prosecution remains present for any marijuana business or ancillary company that profits so long as the drug remains classified as a Schedule I narcotic under the U.S. Controlled Substances Act. Enforcement protocol may change from administration-to-administration. Although it seems the federal government may once again be taking a hands-off approach to marijuana policy in states where the drug is legal, one can never count on it so long as that classification remains on the books.

As it now stands, 10 states (including California) plus Washington D.C. have legalized marijuana for recreational use, while 30 have legalized for medicinal use and 10 have decriminalized it.

Tax Cuts for California Cannabis? Lawmakers Seek Ways Ease Marijuana Money Woes

Lawmakers in California are exploring ways to ease the financial pressure many pot companies are under, with many saying lowering taxes on cannabis products being one of the best ways to facilitate real competition against the black market. Our Los Angeles marijuana lawyers know this has resulted in serious struggle for some shops in the last year since recreational marijuana hit the market. The AP reports a number of marijuana industry-backing state legislators have proposed a measure that would cut taxes for these firms and offer a much-needed jump-start needed to get back in the game.Los Angeles marijuana lawyer

Assembly Bill 286 proposes to:

  • Temporarily lower from 15 percent to 11 percent the tax legal buyers pay when they purchase from a California dispensary
  • Ax the nearly $150 tax applied per pound on farmers – at least for the next three years.

Analysts say sales of legal marijuana in the last year from $3 billion in 2017 to $2.5 billion in 2018. This is of huge concern because in 2017, the only kind of marijuana available for purchase was medicinal. Recreational marijuana wasn’t available for retail until Jan. 1, 2018.

Legislators opined the high taxes were hurting the companies that are trying to follow the law by creative cash incentive for consumers to seek black market retailers. This was the incentive for the Temporary Cannabis Tax Reduction bill. 

The governor’s proposed budget for this fiscal year (ending in June) initially opined we’d be raking in a lot more. The governor’s office recently reduced its estimated tax revenue budget – previously beefed up based on the projection of booming marijuana sales. CNBC reported the state overshot its anticipated cannabis tax collections for the first have of last year by about $101 million.

Eventually, state lawmakers believe the cannabis industry may be able to bring in somewhere between 8 billion and $20 billion for California, but right now, that seems unreasonable given that so many have been grounded in their first year.

Will Tax Cuts Save California Cannabis?

Los Angeles marijuana business attorneys know tax reduction is a very good start. For a product that is safe, legal and has a host of medicinal properties, the tax rate is far too high. But we and the cannabis businesses we serve know even that may not be enough. The other problem is that we have this onerous maze of regulation that is extremely expensive. That has led some farmers and retailers to sidestep the system for licensing and just go straight to the streets.

Although it’s not a route any attorney would recommend (in large part because it will put you at high risk of unwanted attention from federal authorities), it also dings those in the legal market trying to do it right. It’s a form of unfair competition – one the state government has a way of controlling.

If burdens from both the regulatory and tax sectors could be lifted, the law-abiding marijuana cultivators and retailers would have a decent shot.

As it now stands, 30 states have passed laws allowing marijuana as medicine, about a third of those allowing for adult recreational use.

California Growers Association Drops Lawsuit Over Large-Scale Cannabis Cultivation

A lawsuit by the California Growers’ Association over the stacking of licenses by small-scale cannabis farmers to allegedly create large-scale grow sites, thereby subverting the intent of Prop 64, will be dismissed. Although neither the association, nor the California Department of Food and Agriculture (case defendant) have commented publicly on the motive for moving for dismissal, a couple of the growers who were the subject of litigation, having some 200 licenses each, say California is big enough to support small and large operations alike. Smaller growers, they say, can carve a cult-like following by capitalizing on the artisanal. Commercial production for things like medical-grade CBD and related products, however, can’t be produced practically for a profit by small-scale operations, they said.growoperations-300x169

As our Los Angeles marijuana attorneys can explain, the state’s Department of Food and Agriculture published its final rules for awarding marijuana grow licenses per Proposition 64, with licenses granted according to the size of the farm.

Licenses for “medium-sized” cannabis farms would allow one person or entity a maximum 1 acre outside or 22,000 square feet indoors. “Large” marijuana grow farms (larger than 1 outdoor acre or 22,000 feet of indoor space) aren’t being awarded until 2023, the idea being smaller, mom-and-pop grow operations will get a head start before the large agricultural companies can come storming in. There was, however, no designated license for “small” farms, at least initially.

Last year, the state agriculture department said it would be granting small licenses for indoor facilities under 10,000 feet. However, in doing so the department also said it would not place caps on how many licenses a small operation could obtain. These gave growers the ability to combine many small licenses to effectively run a large-scale marijuana grow operation. This has been seen so far most often in Santa Barbara County, which is gaining a reputation for being California’s cannabis cultivation mecca.

The California Growers Association was filed after that, but it never managed to get very far in court, but the argument was that allowing this loophole to continue directly conflicted with Proposition 64.

However, the end of the lawsuit seemed on the horizon when a new director took over the CGA. He was quoted soon thereafter as saying he was torn about the lawsuit’s prospects and purpose, saying he didn’t want to fight with marijuana farmers. The CGA board announced in a press release earlier this month that it had approved the director’s request to move for dismissal of the lawsuit.

The board consensus, as outlined in the statement, was that the burgeoning bud industry has robust regulatory oversight, many moving parts and is constantly evolving. The board and later its spokeswoman underscored their continued staunch belief that the agriculture department’s decision not to enforce provisions of Prop 64 failed to reflect voters’ intent  to provide small cannabis farms a running head start and chance to proliferate, the organization said it instead wanted to build relationships with new growers, not be at each other’s throats.

California Cannabis Delivery: Cities, State Troopers, Consumers and Companies War Over Rules

A final rule from the California Bureau of Cannabis Control went into effect this month permitting delivery of cannabis anywhere in the state – even in cities where cannabis has banned. It was no secret the California League of Cities was majorly opposed to this, and last summer submitted an open letter to the cannabis control regulation office arguing the regulation – Section 5416(d) – undermined the ability of local agencies to set their own community standards. The BCC moved forward with the proposed rule anyway, and now our L.A. marijuana delivery attorneys are monitoring the situation, as cities appear poised to duke it out in court.

Meanwhile, amid a spate of arrests by the California State Highway Patrol of marijuana delivery drivers and seizure of their cannabis company goods, the California Office of Administrative Law issued a ruling last week issued a ruling clarifying how marijuana distributors should move about the state. This new rule affirmed the BCC’s regulation indicating these operators can deliver to any jurisdiction, provided the delivery is conducted in compliance with all the BCC’s delivery provisions in place at the time. L.a. marijuana delivery lawyer

It’s been over one year since California opened the largest U.S. retail market for recreational marijuana. Nobody disputes that limited personal possession and private use of the drug is legal almost anywhere (with some restrictions allowable for federal buildings and property, landlords and private property owners). However, the restriction of cannabis sales is within the purview of local communities, per Prop 64 (the measure voters approved in legalizing recreational use marijuana). The question is where deliveries fall in all of this because while it does equate to distribution, actual sales occur elsewhere.

And of of course, as our L.A. marijuana delivery attorneys know, rules for marijuana delivery are likely to be hard-fought as well.

In addition to the California League of Cities, others opposed include state-organized local police chiefs and others in law enforcement. Some say they’d support deliveries for medicinal patients, but not recreational users.

Meanwhile, state-sanctioned marijuana delivery was an important provision pushed hard by cannabis companies and consumers precisely because of the fact so many had banned commercial marijuana activity or hadn’t set up rules necessary to allow legal sales. According to the North Bay Business Journal, advocates on either side are mulling whether to pursue a lawsuit, legislation or both to address the marijuana delivery dispute.

Marijuana Delivery Services Vulnerable to Law Enforcement Stop, Search, Seizure

Meanwhile, other legal woes relating to California cannabis delivery include a class action lawsuit, Goldman et al v. California Highway Patrol, filed in a California Superior Court in San Francisco, asking a state judge to bar the highway patrol from seizing cash and other properties from employees of a marijuana delivery company based in Hubmolt County to the Los Angeles area last year. In the course of those traffic stops, an estimated $257,000 in cash was seized by the state agency. The claim is brought on behalf of cannabis businesses, cannabis medical patients, California taxpayers, alleging unreasonable search and seizure and violation of civil rights. The lawsuit asks for a preliminary and permanent injunction to bar the agency from turning over assets seized from these stops to federal authorities (from whom claimants will have virtually no hope of getting a return).

CBD-Only Shops Cropping Up in California, Even in Cities Where Cannabis is Banned

Standalone CBD shops – those selling oils or other products made solely from cannabidiol (a chemical compound found in the cannabis plant that does not contain the psychoactive elements of THC) – are not expansive in California, but they have gained footing in some cities that have otherwise banned full marijuana dispensaries. They are also proving popular options in states where the drug itself may not yet be legal, particularly in light of the recent passage of the federal Farm Bill, which included provisions that legalized hemp, from which CBD oil can be obtained. L.A. Los Angeles CBD shop attorneys understand that while these little stores are outnumbered by the full-service cannabis dispensaries in the city hundreds-to-one, these store owners say they were drawn to the business primarily for the health benefits and variety of products (salves, tinctures, creams, edibles, soft gels, tinctures and more), but also for the reduced legal risk and ease in securing insurance and funding. One in L.A., for instance, sells only hemp-made CBD oil expressly for this purpose Shops that sell only CBD aren’t required to have the pricey licensing, as is required by legal cannabis dispensaries in California.

Such stores have also opened in Missouri, Texas, Kansas, Arkansas, North Carolina, Minnesota, Louisiana, Florida, Georgia, Mississippi and Ohio. There are only trace amounts of TCH in CBD, and it’s even proven effective for some people with epilepsy, cancer, chronic pain and PTSD. The U.S. is also well-known to be the No. 1 importer of hemp products globally. Costs on those items may fall. Our L.A. CBD business attorneys expect these new stores may now start growing like weeds, particularly where access to the drug may be limited to medicinal use.

Meanwhile, some companies have taken to selling these CBD oil products online, particularly in states where cannabis is not legal. However, with no testing regulations in place for CBD products, though the U.S. Food and Drug Administration has issued warnings with regard to making false claims on the medicinal properties, potency and effectiveness of the product they are selling. So long as the the CBD oil is hemp-derived, it is likely to be legal per the provisions of the 2014 Farm Bill and the updated version in 2018, but it’s a good idea to speak with an L.A. CBD shop attorney before launching your online venture – particularly if you plan on shipping out-of-state sales.

Pot Policy 101: L.A. Marijuana Lawyers Urge Polishing Up on Your California Prop 64 Proficiency

Let’s talk pot shop. As long-time L.A. marijuana lawyers, we’ve seen the industry in California morph from its early days as the first state in the U.S. to legalize medical marijuana in the 1990s to joining a growing number of cannabis companies celebrating legal recreational use of the drug, officially allowable after Jan. 1, 2018. However, the passage of this measure did not open the market floodgates. In fact, certain rules are fairly strict and you must be mindful of them when in public, engaging in business with marijuana companies and especially if starting one yourself. L.A. marijuana lawyers

For those who may be new to California, just landed a job here, have an upcoming visit or perhaps are just now interested in testing the THC waters, here are the main things you need to know. 

I want to buy recreational marijuana. What are the rules?

California statute allows adult individuals over the age of 21 to purchase up to 1 ounce of marijuana a day, or up to 8 grams of cannabis concentrates, such as candies, breakfast bars and brownies. The amount of edibles you’re allowed to legally have on your person will depend on the THC concentration of each product. One small product might contain a higher degree of THC concentration than something larger, thus the number of the smaller products you would legally be able to have would be lower. Products must be purchased from a state-registered dispensary and users must provide a valid ID, such as a driver’s license or passport. Sales are banned between the hours of 10 p.m. and 6 a.m. Marijuana can be delivered, per a recent rule from the Bureau of Cannabis Control that became law this month.

Can I smoke or eat recreational marijuana in public?

No. The California Department of Health notes that you may not smoke, vape, eat or otherwise consume cannabis in public, and anywhere tobacco smoke is prohibited, so too is marijuana unless otherwise stated. Private residences are your best bet, though a few cannabis cafes and lounges have cropped up in Oakland, San Francisco, Sacramento, Palm Springs and West Hollywood.

You also cannot smoke while driving or riding in a vehicle, and it is still prohibited to drive under the influence of marijuana.

Is my landlord allowed to ban marijuana use on site?

Yes, the law allows property owners and landlords the right to ban both possession and use on site. People are also prohibited from consuming or possessing the drug on federal property, including parks, and cannabis cannot be taken across state lines – even if crossing directly into a state where it is legal.

Can my boss fire me for using marijuana? 

That depends. Technically, as our L.A. marijuana lawyers know (also having long-time experience in California employment law), there isn’t a state law that protects workers from being fired for using the drug. There was also a decision by the U.S. Supreme Court in 2008 that allows companies to fire workers who fail marijuana drug screens, no matter what the state law is. Prop 64 gives employers authority to tailor their company drug policy how they wish.

Can I face federal charges for buying or possessing marijuana? 

Technically, yes. However, that is very unlikely, though you are somewhat at the whims of the federal administration unless/until classification of cannabis is updated. For the most part, federal authorities are interested (if they are interested) in nabbing large suppliers.

Marijuana Product Liability Lawsuits May Pick Up in 2019

It’s not only pot smokers who line outside California’s cannabis dispensaries. Personal injury attorneys may be lurking nearby as well, watching for the opportunity to pounce on a possible product liability claim if an marijuana product makes someone sick or results in an injury. This is particularly true because many states allow punitive damages (up to three times one’s actual damages, intended to penalize the defendant for egregious wrongs rather than simply compensate the plaintiff) for injuries an intoxicated person causes to others. product;iability

Marijuana product liability attorneys in Los Angeles have concluded cannabis companies with perhaps the greatest vulnerability are those that produce edible products. Soda, gummies, truffles, cookies, truffles, brownies, potato chips, wines – the list is endless. But the waters of marijuana product liability lawsuits aren’t well-tested.

Such lawsuits will assert that marijuana products are defective, dangerous, mislabeled and/or the makers and distributors failed to issue adequate warnings about these risks.

In one such case, Kirk et al v. Nutritional Elements, Inc. et al., filed in the Denver County District Court, plaintiffs are the sons of a man who consumed a cannabis edible he purchased legally from a recreational marijuana dispensary in Colorado, soon became consumed with paranoia and shot and killed his wife. He blamed it on the edible, which he said he’d never done before and was not aware the product would affect him that way. The sons are asserting wrongful death against the manufacturer of the marijuana gummy as well as the store that sold it, alleging both failed to warn of its potency and potential side effects, such as psychosis and hallucinations. He was later convicted and sentenced to 30 years in prison.

Any entity within the chain of distribution – regardless of whether they knew of the alleged defect or danger – is at risk of product liability claims. The store that sold the product to him settled with the family for an undisclosed sum. The manufacturer sought indemnity from its insurer, but as reported by Courthouse News Service, was denied, with the insurer arguing in a federal complaint that the policy expressly didn’t cover bodily injury that might occur after the manufacturer relinquished possession of the product. Further, the settlement the store reached with the family likely prejudiced the the manufacturer/ insurer, the latter of which had never been consulted for it.

While the arbitrary concentration of THC in one’s blood that Colorado considers enough for a person to be impaired for driving purposes is 5 nanograms per milliliter of blood, the husband had about 2.23 grams. It is known, however, that the impact of THC can be greater when a person eats rather than smokes the substance.

At the time that candy was sold in 2014, there were very few requirements on labeling for marijuana products. That has since changed.

Some other potential defendants in marijuana product liability cases may include:

  • Improper labeling of THC concentration, dosage and safety warnings (i.e., 10 mg may be a safe dose for someone who is healthy and 25, but what about someone who is 65?).
  • Containers that are not child-proof. Because so many edible products in particular may be tempting to children (cookies, candies, brownies, chips, gummies, etc.), not only do these products need to be properly labeled, they must be securely sealed.
  • Contaminants. California recently increased its requirements for contaminant testing, but it’s still possible product liability cases could arise if contaminants cause harm to consumers.

Constitutionality of Cannabis: Federal Lawsuit Against DEA, DOJ Proceeds

A federal lawsuit against the U.S. Drug Enforcement Administration and the U.S. Department of Justice, challenging the constitutionality of the federal law designating marijuana a Schedule I controlled substance proceeded recently to the next level with oral arguments before the U.S. Court of Appeals for the Second Circuit. As our Los Angeles marijuana patient attorneys can explain, the crux of the argument by plaintiffs of the claim, first filed in 2017, is that the designation ignores the merits of the drug for medicinal purposes. Plaintiffs in the lawsuit include a 12-year-old epilepsy patient, an 8-year-old Leigh’s syndrome patient, an Iraq war veteran and sufferer of post-traumatic stress disorder, a former NFL player who heads a hemp company hawking sports performance products and a non-profit that helps minorities get ahead in the legal cannabis market. Defendants are acting-Attorney General Matthew Whitaker, the acting director of the DEA and the federal government.

The appeal, limited to presentations of just a few minutes per side, rests on a dispute of the assertion that the Controlled Substances Act violates the 5th Amendment, which guarantees the right of citizens to preserve life and health. 

Los Angeles cannabis lawyers know one of the strongest points plaintiffs have in their favor is the recent approval by the U.S. Food and Drug Administration’s approval last year of Epidiolex, a drug that contains CBD (cannabidiol). Although the lower federal court (U.S. District in New York ruled plaintiffs had yet to pursue all administrative avenues – including petitioning the DEA to reschedule the drug – plaintiff marijuana lawyers pointed out the DEA’s review process can take up to nine years. They are asking for an opportunity to proceed to trial to prove their case that the Schedule I designation for marijuana is not constitutional.

The government argued plaintiffs should proceed with their petition through the administrative process. Federal judges asked the government why, if the medical value of marijuana is proven, should plaintiffs wait nine years to navigate the federal bureaucracy to reach a conclusion that’s already obvious. One of the judges even insinuated it was more likely than not the designation could be deemed unconstitutional, considering the medicinal benefits of marijuana had “been known for decades,” if not longer.

Plaintiffs’ attorney argued that patients who already live in states where medical cannabis is legal by state law live in constant fear that their right to access viable medicine could be arbitrarily stripped at any point if the federal government suddenly decided to pursue enforcement of federal law (which has been done on-and-off in recent years). He further argued that an extensive delay would result in irreversible harm to the patients, particularly the children.

Plaintiff attorney, addressing cannabis supporters outside the court during the hearing, said the questions posed by the judges appeared to be a good sign.

However, if justices deny their appeal, plaintiffs say they could take their case to the U.S. Supreme Court. However, only 10 percent of cases that are submitted to the SCOTUS are accepted for review.
